1. Who we are and what these terms cover

The website esap.pro (the "Site") is operated by Ethicalc spółka z ograniczoną odpowiedzialnością with its registered office at ul. ks. Leona Miszewskiego 18/2C, 80-239 Gdańsk, Poland, entered in the National Court Register (KRS) under number 0001241947, NIP 9571202612, REGON 544803812 ("Ethicalc", "we", "us"). These terms govern your use of the Site. By using the Site you accept them. Paid services are governed by a separate written engagement; these terms apply to the Site only.

2. What the Site is

The Site is an independent information service about the European Single Access Point (ESAP) established by Regulation (EU) 2023/2859, the related EU rules, and the data they produce. It is not affiliated with, endorsed by or operated by the European Securities and Markets Authority (ESMA), the European Commission, any European Supervisory Authority, any national competent authority or any collection body. The official ESAP portal is operated by ESMA. "ESAP" on this Site refers to that EU access point; names of institutions belong to those institutions.

3. Information only — no advice

Content on the Site is general information. It is not legal, tax, accounting, audit, regulatory or investment advice, and it is not a recommendation to buy, sell or hold any financial instrument. It does not create a client, adviser or fiduciary relationship. Decisions that depend on the exact wording of a law or on your particular circumstances should be taken on the basis of the official legal texts and, where appropriate, professional advice. Where we express an opinion, we label it as our reading.

4. Accuracy and updates

We take care to keep the Site accurate and we date each page. ESAP is being implemented in phases and dates, rules and official guidance can change. We do not guarantee that the Site is complete, current or error-free at any given moment. If you find an error, please tell us and we will correct it.

5. Data and statistics

Statistics on the Site are computed by us from named public datasets using the method described on the relevant page, or are quoted from named sources. They are subject to the limitations stated on that page. We publish aggregates; we do not publish rankings of named companies.

6. Intellectual property and permitted use

Text, tables, graphics and the structure of the Site are the property of Ethicalc or its licensors and are protected by copyright. You may read, print and download pages for your own use, and you may quote short extracts with attribution ("esap.pro / Ethicalc sp. z o.o.") and a link to the page. Aggregate data tables marked as such are licensed under Creative Commons Attribution 4.0. Any other reproduction, redistribution or commercial use requires our written permission. Quotations from legal texts and official documents remain subject to the rights of their authors. The esap.pro and Ethicalc names and logos may not be used without our written permission.

7. Acceptable use

You may not use the Site in a way that damages or overloads it, attempts to gain unauthorised access to it or to data not intended for you, sends unsolicited messages through our forms, or misrepresents the source of its content. Automated access to pages for indexing or research is permitted at a reasonable rate; bulk scraping that burdens the Site is not.

8. Forms and messages

When you contact us through the Site or by email, we process your data as described in our privacy policy. A message sent through the Site does not create any obligation on our part to act or reply, except as stated in that policy. Paid work starts only after a written scope has been confirmed by both sides.

9. Links to other sites

The Site links to legal texts, official pages and third-party documents. We do not control those sites and are not responsible for their content or availability. A link is a reference, not an endorsement.

10. Liability

To the extent permitted by applicable law, Ethicalc is not liable for any loss or damage arising from the use of, or reliance on, the Site or its content, including indirect or consequential loss, lost profits, or loss resulting from decisions taken on the basis of the Site. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for wilful misconduct or, where mandatory consumer law applies, the rights of consumers.

11. Changes to the Site and to these terms

We may change, suspend or discontinue any part of the Site at any time. We may update these terms; the version and effective date appear at the top of this page, and the current version applies from its effective date.

12. Governing law and disputes

These terms are governed by the law of the Republic of Poland. Disputes that cannot be settled amicably are subject to the jurisdiction of the Polish courts; for users who are not consumers, the court competent for the registered office of Ethicalc. Consumers resident in the European Union retain the protection of the mandatory provisions of the law of their country of residence, and may use the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr.
